Enzon To Meet With Activist Fund Manager

ralph-dellacamera.jpgEnzon Pharmaceuticals plans to meet with the opportunistic Dellacamera Capital Master Fund on Jan. 30, and how well that meeting goes will likely determine whether the future life of the business - at least the future envisioned by ceo Jeff Buchalter - is threatened, The Daily Deal reports.

The fund launched a proxy contest to nominate three directors and engineer the possible sale of certain assets, according to a Jan. 11 letter contained in a Securities and Exchange Commission filing last week. Ralph Dellacamera (pictured at left) claimed his nominees, John Geltosky, David Tendler and David Gale, have experience in pharma, biochemistry or business investment operations.

“These candidates would strengthen the quality of the entire Board and are committed to acting solely in the best interests of all Enzon shareholders,” Dellacamera wrote in the SEC filing. Besides adding board members, the fund, which holds 5.3 percent of Enzon shares, wants the company to consider selling its Abelcet anti-fungal product line and find ways to “unlock the value” of its proprietary technology, according to a Dec. 19 filing.
